IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS LICENSE THEN YOU MUST DESTROY ALL COPIES OF THIS SOFTWARE IMMEDIATELY AND YOUR LICENSE AND ENTITLEMENT TO USE THIS SOFTWARE WILL SUBSEQUENTIALLY BE REVOKED.

1. Grant of License; easybe.com grants you the right to use your copy of this software and all the associated electronic documentation on a single named/branded website (internet domain). You may not use it on more than one website as defined above or have two instances of the software running on the same website unless it is covered under additional licensing. Under no circumstances are you permitted to remove any "Powered by:" links back to our site, hide them from view or modify them in a manner that is likely to cause confusion of branding. Any such activity will result in an instant revoke of this license, and possible corruption related to software functionality.

2. Copy Restrictions; Ownership of software. You may own the media on which the software is stored/recorded, but easybe.com retains exclusive ownership of the software itself including ALL copies and is regardless of form of media and/or storage device. The software and all related materials are copyrighted. You may either (a) transfer the software to a single hard disk and retain the original software for back-up purposes, or (b) make one copy of the software for backup, archival or development purposes.

3. Transfer Restrictions; You may transfer the software with a copy of this agreement to another party, but only on a permanent basis and only if the other party accepts the terms and conditions of this agreement and is in a jurisdiction where the law allows such transfer under the said terms. Upon such transfer; you must transfer all related materials, and either transfer or destroy all copies of the software. You may not lease, rent, share (including pier to pier), sublicense, merge, reverse engineer, decompile or disassemble this software though personal modification and development is permissible.

THIS TRANSFER ALLOWANCE ONLY APPLIES IF THE ENTIRE WEBSITE IS SOLD TO A THIRD-PARTY AND YOU NO LONGER RETAIN ANY ACTIVE DIRECT/INDIRECT INVOLVEMENT OR FINANCIAL INTEREST IN THE SAID ENTERPRISE, UNLESS easybe.com HAS GRANTED SPECIAL PERMISSIONS, PRIVLEDGES OR ENTITLEMENTS TO DO SO.

4. Termination; This License is effective until terminated. The license will terminate automatically without notice from easybe.com if you fail to comply with any provisions within this license. You may voluntarily terminate it at any time. Upon termination, you agree to destroy or purge all copies of this software and all related materials.

5. LIMITED WARRANTY; As it's only warrant under this agreement, easybe.com warrants the software to work as represented on our website in any descriptive text or documentation which specifically defines the functions and features of the software.

EXCEPT AS EXPRESSLY WARRANTED IN THIS AGREEMENT, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. easybe.com DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE OR THAT SOFTWARE DEFECTS WILL BE CORRECTED. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC, LIMITED RIGHTS, YOU MAY HAVE OTHER RIGHTS WHICH WILL VARY DEPENDING ON YOUR COUNTRY OF RESIDENCE.

6. LIMITATION OF LIABILITY; easybe.com's entire liability and your sole remedy under this license is, at easybe.com's discretional option, either (a) return of payment; or (b) replacement or repair (patch) of software under this warranty.

IN NO EVENT WILL easybe.com OR ITS VENDORS, AGENTS OR AFFILIATES BE LIABLE FOR ANY DIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, INFORMATION, OR USE) EVEN IF easybe.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY ALSO NOT APPLY TO YOU.

Under no circumstances shall easybe.com be liable for any damages that result from the use or inability to use the software or related documentation, even if easybe.com has been advised of the possibility of such damages. In no event shall the liability of easybe.com exceed the fee paid for the license, if applicable.

7. Governing Law; This Agreement is governed by the laws of the United States of America, the United Kingdom and Germany. If the laws of your county, state, locality or sovereign country do not allow you to be bound under this agreement then your are hereby notified that you are not licensed to use this software and must immediately destroy all copies of the software.

8. Export Law Assurances; You may not use or otherwise export or re-export the software except as authorized by United States law, United Kingdom Law and the laws of the jurisdiction in which the software was obtained. In particular, but without limitation, the software may not be exported or re-exported (a) into (or to a national or resident of) any U.S. embargoed country or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Table of Denial Orders. By using the software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.

9. PayPal Restriction; Though this software is not officially endorsed by PayPal, it has been designed exclusively for their IPN subscription system. As such, in order to limit licensing, you MUST have a VERIFIED PayPal Premier or Business account in order to be entitled to a license, and to use this software. As the software will not function without this, it is pointless for anyone attempting to obtain a license if they do not have a VERIFIED account! Not having a PayPal account that matches the above criteria means that you are not licensed to use this software and must immediately destroy any copies you may have.
